Terms and Conditions
Welcome to Tableside. These Terms and Conditions (“Terms”) govern your use of sharetableside.com, our text messaging program, and our dining events and membership services (together, the “Services”), operated by Share Tableside, LLC, a Tennessee limited liability company (“Tableside,” “we,” “us,” or “our”). By creating an account, booking a seat, purchasing a membership or dinner bundle, or otherwise using the Services, you agree to these Terms and to our Privacy Policy.
1. What Tableside Is
Tableside is a social dining membership. We organize shared dinners at partner restaurants and assemble tables of members and guests. Meals are prepared and served by independent restaurant partners; Tableside is not a restaurant and does not prepare or serve food. Tableside curates seating but does not conduct background checks or otherwise screen diners, and makes no representations about any diner you may be seated with.
2. Eligibility and Accounts
You must be at least 18 years old to use the Services (and at least 21 to be served alcohol at any dinner). You agree to provide accurate information when creating your account and to keep it current. You are responsible for activity that occurs under your account. Accounts, memberships, and dinner bundles are personal to you and may not be shared, sold, or transferred.
3. Bookings, Membership, and Dinner Bundles
Walk-up seats. Individual seats at dinners may be purchased at the per-seat price shown at booking.
Monthly membership. Members may pay a recurring monthly fee, billed in advance, for the membership benefits described at the time of enrollment.
Dinner bundles. We may offer prepaid bundles of a stated number of dinners at a stated price. Bundle pricing, the number of dinners included, and any expiration period will be disclosed at the time of purchase. Unless otherwise stated at purchase, bundled dinners expire twelve (12) months from the purchase date, and unused dinners are forfeited at expiration without refund, except where prohibited by law. Bundles have no cash value and may not be redeemed for cash.
No guarantee of seats. Seats at Tableside dinners are limited and demand may exceed supply. A membership or bundle gives you the ability to request and book seats as they are available; it does not guarantee you a seat at any particular dinner, restaurant, date, or time. We will make reasonable efforts to provide access to dinners you want, including through waitlist and standby tools, but availability is not guaranteed, and unavailability of a particular dinner is not grounds for a refund.
Food and beverage. Unless stated otherwise for a particular dinner, food and beverages you order at the restaurant are paid through the Services as described in Section 6. Prices, fees, and menu offerings vary by dinner and restaurant.
Pricing changes. We may change our pricing, fees, or membership terms prospectively. We will provide notice of material changes to recurring membership pricing before they take effect, and you may cancel before the new pricing applies. Pricing changes do not affect bundles already purchased.
4. Billing and Payments
Payments are processed by Stripe. By providing a payment method, you authorize us to charge it for: seats you book; membership fees and bundle purchases; your share of food and beverage at dinners you attend, including amounts charged under Section 6; late cancellation and no-show fees under Section 5; and any other amounts you incur under these Terms. You agree to keep a valid payment method on file while you have an active membership, bundle, or upcoming booking. If a payment fails, we may retry the charge and suspend your access until payment is made. You agree to contact us to resolve any billing dispute before initiating a chargeback.
5. Cancellations, No-Shows, and Refunds
Seats at Tableside dinners are limited and are held at the restaurant specifically for you.
Cancellation window. You may cancel a booking without charge up to forty-eight (48) hours before the scheduled dinner time.
Late cancellations and no-shows. If you cancel within 48 hours of the dinner, or fail to attend, you will be charged a late cancellation fee equal to the per-seat ticket price for that dinner. For bundle holders, a late cancellation or no-show consumes one dinner from your bundle. These amounts reflect the cost of a held seat that cannot be resold and the commitment made to the restaurant on your behalf.
No refunds. Except as expressly stated in these Terms or required by law, all payments, including seat purchases, membership fees, and bundle purchases, are final and non-refundable.
Membership cancellation. You may cancel a monthly membership at any time, effective at the end of the current billing period. You retain access through the end of the period; fees already paid are not refunded.
Cancellation by us. If Tableside or a restaurant partner cancels a dinner, we will, at our option, refund or credit amounts you paid for that dinner (or restore the dinner to your bundle). This is your sole remedy for a canceled dinner.
6. Dinner Settlement, Receipts, and Automatic Charges
At the conclusion of each dinner, your share of the bill is presented to you through the Services for review and approval.
Your obligation.You agree to review and approve your receipt through the Services within the time period stated at the dinner or in the receipt notification (the “Settlement Window”).
Automatic settlement. If you do not approve your receipt within the Settlement Window, you authorize us to automatically charge your payment method on file an amount equal to: (a) the total remaining unpaid balance for the table, divided by the number of diners who have not approved their receipts; plus (b) a twenty percent (20%) service charge in lieu of gratuity, if no gratuity or service charge was otherwise included; plus (c) a late settlement service fee equal to ten percent (10%) of the amount in (a), reflecting the administrative cost of manual reconciliation.
Taxes. Your share of the bill includes applicable sales and other taxes, service charges, and fees. You are responsible for all taxes associated with your purchases and dinner charges. Tableside does not provide tax advice, and you are solely responsible for determining the tax treatment of any amounts you pay (including any claimed business expense deductions).
Disputes. If you believe an automatic settlement charge is incorrect, contact us at info@sharetableside.com within seven (7) days of the charge and we will review it in good faith. Approving your receipt within the Settlement Window is the way to avoid automatic settlement.
7. Conduct, Standards, and Refusal of Service
Tableside dinners are shared experiences, and every seat affects the table. You agree to treat fellow diners, hosts, and restaurant staff with respect and to abide by the standards of conduct we communicate through the Services.
Refusal of service. We reserve the right to refuse service, decline a booking, or decline membership to anyone at any time, for any reason or no reason, except as prohibited by law.
Removal and suspension. If you fail to abide by Tableside standards of conduct, including harassment, discrimination, intoxicated or unsafe behavior, disrespect toward diners or restaurant staff, or other conduct we determine in our reasonable discretion harms the experience or safety of others, you may be asked to leave a dinner, may not be invited to future dinners, and may have your account suspended or terminated, in each case without refund of amounts paid.
Restaurant rules. You agree to follow the rules and policies of each host restaurant while on its premises.
8. Your Experience
Meals, service, and ambiance are provided by independent restaurant partners and their chefs, and experiences will vary. Tableside does not control, and is not responsible for, the food, service, pricing, premises, or overall experience provided by any restaurant. Tableside will make reasonable efforts to select restaurant partners that provide excellent experiences, and the Services include opportunities to review dinners so that member feedback informs future selections. Variation in restaurant or chef experience is not grounds for a refund.
9. Food, Allergies, Alcohol, and Assumption of Risk
Disclosing allergies and dietary restrictions on Tableside helps us match you to restaurants that can best accommodate them, and we will make reasonable efforts to pass this information to host restaurants. However, Tableside does not prepare food and cannot guarantee that any meal is free of allergens or prepared consistent with any dietary restriction. It is your responsibility to confirm allergy and preparation details directly with the restaurant: tell your server about your allergies at every dinner, and do not rely solely on your communications with Tableside. You assume all risks associated with dining, including risks related to food allergies, intolerances, foodborne illness, and alcohol consumption.
Alcohol. Alcohol at Tableside dinners is sold and served exclusively by the host restaurant under its own liquor license. No one under 21 years of age may order or consume alcohol at any dinner, and no diner may share, purchase, or otherwise provide alcohol to anyone under 21 or to anyone the restaurant has declined to serve; doing so is a conduct violation under Section 7. The restaurant, as the licensed seller, is solely responsible for verifying age, requesting identification, and determining whether and how much to serve any patron, and all decisions regarding alcohol service are between you and the restaurant. Tableside does not sell, serve, or furnish alcohol, does not verify age, and has no ability to monitor alcohol service or consumption at dinners, and to the fullest extent permitted by law disclaims all liability arising from the sale, service, or consumption of alcohol. You are responsible for drinking responsibly and arranging safe transportation.
10. Photography and Diner Privacy
Dinners take place in public spaces, and dinners may occasionally be photographed by Tableside for marketing; if you prefer not to appear in Tableside photography, let the host know at the dinner. Among diners, use discretion: ask permission before photographing other people at the table, and respect the wishes of anyone who prefers not to be photographed. We may treat repeated disregard of others wishes as a conduct violation under Section 7.
11. Contact Information Exchange
To keep dinners comfortable for everyone, please do not ask other diners for their contact information in person. The Services provide a way to request and share contact information after the dinner, and contact details are exchanged only when both people agree. Soliciting contact information at the table, or using the Services or information learned at dinners to contact, follow, or harass another diner without their consent, is a conduct violation under Section 7.
12. Text Messaging (SMS) Terms
By opting in to Tableside text messages, you consent to receive recurring automated text messages from Tableside at the mobile number you provide, including booking confirmations, reminders, table details, receipt and settlement notifications, waitlist and standby notifications, and updates about upcoming dinners. Consent is not a condition of purchase.
Message frequency varies based on your activity.
Message and data rates may apply.
Reply STOP to cancel at any time; reply HELP for help, or contact info@sharetableside.com.
Carriers are not liable for delayed or undelivered messages.
13. Intellectual Property and Your Content
The Services, including the Tableside name, logo, brand assets, website content, and software, are owned by Share Tableside, LLC or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Services without our written permission. If you provide content to us (such as reviews, photos, or feedback), you grant us a non-exclusive, royalty-free, worldwide license to use it in connection with operating and promoting the Services, and you represent that you have the right to grant that license.
14. Third-Party Services
The Services rely on third-party providers, including Stripe for payments and Twilio for messaging, and involve independent restaurant partners. We are not responsible for the acts or omissions of third parties, including restaurants food preparation, service, or premises, or the conduct of other diners.
15. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT SEATS WILL BE AVAILABLE AT ANY PARTICULAR DINNER, OR MAKE ANY WARRANTY REGARDING THE MEALS, SERVICE, PREMISES, OR EXPERIENCE PROVIDED BY RESTAURANT PARTNERS OR THE CONDUCT OF OTHER DINERS.
16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SHARE TABLESIDE, LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING OUT OF OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO TABLESIDE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
17. Indemnification
You agree to indemnify and hold harmless Share Tableside, LLC and its members, managers, employees, and agents from claims, damages, and expenses (including reasonable attorneys fees) arising out of your violation of these Terms, your conduct at a dinner, or your violation of any third party rights.
18. Force Majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including restaurant closures, weather, power or telecommunications failures, labor disputes, public health events, or acts of government. If such an event prevents a dinner from occurring, Section 5 (Cancellation by us) applies.
19. Termination
You may stop using the Services at any time. We may suspend or terminate your account as described in Section 7 or for any violation of these Terms. Sections that by their nature should survive termination (including Sections 6, 9, 13, and 15–22) will survive.
20. Governing Law and Disputes
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Before filing any claim, you agree to first contact us at info@sharetableside.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days. Any dispute not resolved informally will be resolved exclusively in the state or federal courts located in Davidson County, Tennessee, and you consent to personal jurisdiction and venue there. To the extent permitted by law, each party waives the right to a jury trial and agrees that claims may be brought only on an individual basis and not as part of a class or representative action.
21. General Terms
Entire agreement. These Terms, together with the Privacy Policy and any dinner-specific or bundle-specific terms disclosed at booking or purchase, are the entire agreement between you and Tableside regarding the Services.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
Notices and electronic communications. You consent to receive notices, receipts, and other communications from us electronically, including by email and text message, and agree that electronic communications satisfy any legal requirement that communications be in writing.
22. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where appropriate, provide notice through the Services. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
